    "content": "Hi,\n\nI still haven't returned my ballot for the AMSAT Board of\nDirectors election, in part because I don't feel that I\nhave really good information on which to make a decision.\nI would like to vote for a Board that will be effective and\nstrengthen the organization.  It is particularly important\nto select the best possible board because, in my view, AMSAT\nis an organization in serious trouble.  But, I would prefer\nto base my vote on the recent accomplishments, recent\npositions during board meetings, and explicit near-term\nobjectives of the candidates.  I would prefer to not simply\nuse a blunt strategy of voting against all incumbents and for\nall challengers. Unfortunately, I don't feel that I really\nknow much about the activities of the individual board members.\n\nTo remedy this, I suggest that the close of the BoD elections\nbe postponed until at least thirty days after the following\nhave been published:\n\no A list of all Board meetings held over the last year\no Minutes from all of these Board meetings\no Minutes from all AMSAT committee meetings of the last year\n\nWe can certainly have a discussion about the appropriate\nlevel of transparency for the Board and its committees, and\nwhether the Board is meeting those objectives.  Here is what\nthe D.C. statutes under which AMSAT is incorporated have to\nsay on the matter:\n\n   Each corporation shall keep correct and complete books and\n   records of account and shall keep minutes of the proceedings\n   of its members, board of directors, and committees having any\n   of the authority of the board of directors; ... All books and\n   records of a corporation may be inspected by any member having\n   voting rights, or his agent or attorney, for any proper purpose\n   at any reasonable time.\n\n-tjs\n\n\n",
