    "content": " Thank you Patrick, you saved me a long email to write. Many many do not understand what a non-profit is or how it is to operate. A 501 (c) (3) has a very specific set of rules to operate by in order to maintain its incorporation. They are listed in the organization's bylaws, which are to be a public document. All those points you mentioned are correct.. Additionally, the General Membership, GM, may normally attend BOD meets but have no voting rights.
